The Business Law practice of KPMG Law LLP is looking for an experienced Senior Corporate Paralegal to join its group in our Calgary office. You will support lawyers on private mergers and acquisitions, corporate reorganizations, general corporate and commercial matters, and corporate finance matters.
What you will do
Support share and asset M&A transactions from structuring through close
Prepare and manage closing agendas, transaction checklists, and closing deliverables
Draft and finalize transactional corporate documentation, including resolutions and supporting schedules
Coordinate due diligence workflows, including data room organization and document tracking and searches as needed
Maintain and update corporate records, ledgers, and registers, and recommend rectification steps when needed
Draft corporate documents for incorporations, amendments, annual filings, dissolutions, continuances and amalgamations
Draft partnership and limited partnership documentation and maintain related records
Coordinate with lawyers and paralegals across KPMG offices to keep matters moving on time
- Use and learn the AI tools with openness to exploration, growth, and skill development.
What you bring to the role
- Minimum 10 years of progressive corporate law paralegal or law clerk experience, with significant transactional support
- Demonstrated experience supporting mergers and acquisitions, including both share and asset deals
- Completion of CORES Levels I–III, or equivalent experience, is strongly preferred
- Legal Assistant 2yr program completion or equivalent formal legal training considered an asset
- Strong drafting skills across transactional corporate documents, closing materials, and corporate records
- Proven ability to manage multiple active files while maintaining accuracy and meeting deadlines
- Experience reviewing and maintaining corporate minute books, registers, and corporate databases
- Advanced MS Office skills and comfort learning new document management and corporate record systems
- Exhibits patience and adaptability when operating independently and working within risk‑driven timelines and procedural requirements.
