PROFILE

We are currently recruiting for a mid-intermediate level Corporate Services Law Clerk to join our Business Law team in the Toronto office. The successful candidate will assist the Firm’s clients by handling legal and administrative matters related to corporate services, including transactional work. The position involves direct dealings with the Firm’s clients and legal professionals and requires a working knowledge of Ontario and Federal corporate law.

RESPONSIBILITIES

  • Preparing all documents relating to corporate reorganizations, share or assets purchase transactions and tax reorganizations.
  • Preparing share provisions for tax and reorganization transactions.
  • Organizing and maintaining of corporate records, files and extra provincial registrations.
  • Conducting minute book reviews, reporting of results including recommendations as to deficiencies.
  • Preparing and organizing of both Provincial and Federal incorporations, both share and non-share.
  • Preparing all documents in support of fundamental changes.
  • Liaising with clients, accountants, lawyers and regulators by telephone and in-person to take instructions and obtain information, and report on status of matters.
  • Transaction support.

QUALIFICATIONS

  • Must have completed a recognized law clerk program and hold a Law Clerk designation.
  • Minimum of 8-10 years of experience as a Law Clerk in a law firm environment is required.
  • Experience with corporate database software notably Athennian and OnCorp.
  • Proficiency with Microsoft Office Suite is an asset.
  • Experience with Ontario and Federal corporate law and exposure to other Canadian jurisdictions.
  • Strong time management skills, ability to meet deadlines, proven effectiveness in delivering fast and accurate client service.
  • Ability to communicate effectively with Firm members, verbally and in writing, with the aptitude to take care of clients’ needs in a professional and courteous manner.
  • Demonstrated initiative and capacity to work proactively and independently, as well as in a team environment, including training junior clerks and new team members.
  • Excellent organizational skills and the ability to redefine priorities when necessary.
  • Strong attention to detail, with the ability to analyze legal documents for accuracy.
  • Ability to work efficiently and effectively with technology.
  • Curiosity of corporate law and ability and willingness to continuously learn and develop new skills.
  • Ability to respond to urgent client requests outside of normal business hours, if required.
  • Experience with not-for-profits and US cross-border matters would be an asset.
