PROFILE

Gowling WLG is seeking a full-time senior Paralegal/Law Clerk for our Corporate Services group in our Business Law department. Working within our Business Law department, the successful candidate will assists professionals by performing legal analysis, researching and preparing legal documents, as well as other tasks involved in the management of the file, in various areas of law. This position receives limited direction or guidance; tasks and objectives are accomplished independently.

RESPONSIBILITIES

  • Drafting legal documents related to corporate transactions such as incorporations, amalgamations, restructuring, director and officer changes, share allotments and transfers, redemptions, dividend declarations, dissolutions and reorganizations.
  • Reviewing and coordinating filings of Annual Reports and other corporate records for Extra-Provincial corporations.
  • Conducting due diligence reviews of corporate minute books and fixing deficiencies as required.
  • Updating and maintaining corporate records to ensure that all documents comply with applicable legislation.
  • Assisting with the creation and uploading of Transparency Registers.
  • Preparing closing agendas.
  • Responding to inquiries from lawyers, clients and corporate registries.
  • Mentoring, training and coaching members of the Corporate Services Team.
  • Assisting with other administrative duties as required.

QUALIFICATIONS

  • Law Clerk/Paralegal or Legal Assistant Diploma/Certificate coupled with 6 - 8 years of experience working as a Law Clerk/Paralegal.
  • Ability to communicate effectively and courteously with firm members, clients and other members of the legal community.
  • Capacity to work independently, as well as in a team environment.
  • Ability to coach and mentor junior and/or intermediate law clerks.
  • Knowledgeable about current legislation and government regulations.
  • In depth knowledge of legal terminology and principles.
  • Ability to proofread and analyze legal documents for accuracy.
  • Produce a high quality and quantity of work product, occasionally under tight timelines.
  • Able to prioritize and to redefine priorities when necessary.
  • Knowledge of Microsoft Office Suite

The starting range for this role is $80,000 to $105,000. Starting salary will be determined based on an applicant’s individual skills, competencies and unique qualifications. Gowling WLG employees have the potential to exceed this range based on tenure and performance.
